According to the Complaint, the Company made false and misleading statements to the market. Capstone engaged in 'bill and hold' transactions with customers. These transactions were not appropriately reported in accordance with generally accepted accounting principles ('GAAP'). The Company was likely to be forced to restate its earnings 'as a result of apparent errors primarily related to revenue recognition associated with bill and hold transactions.' Based on these facts, the Company's public statements were false and materially misleading throughout the class period. When the market learned the truth about Capstone, investors suffered damages.
